Terms of Service

1. Agreement

By creating an account or using PantryPal IQ ("the Service"), you agree to these Terms of Service. If you don't agree, don't use the Service. These Terms form a legal contract between you and Vibe Works Studio LLC ("we," "us," "our"), a Colorado limited liability company.

2. Eligibility

You must be at least 13 years old to use the Service. If you're between 13 and 18, you confirm a parent or guardian has reviewed these Terms with you. The Service is currently available to United States residents only. If you're using the Service on behalf of a company, you confirm you have authority to bind that company to these Terms.

3. Your account

You're responsible for keeping your password secure and for everything that happens under your account. Tell us immediately at support@pantrypaliq.com if you suspect unauthorized access. You can have only one account, and you must provide accurate information when you sign up.

4. Acceptable use

When using the Service, you agree NOT to:

• Break the law or help others break the law
• Try to access another user's account without permission
• Reverse-engineer, decompile, scrape, or otherwise extract source code or data from the Service
• Submit false or misleading information (including fake receipts)
• Upload content that infringes someone else's intellectual property
• Use the Service to transmit malware, spam, or harassing content
• Attempt to overwhelm our servers or interfere with other users' use of the Service
• Use automated tools (bots, scrapers) without our written permission
• Resell, sublicense, or commercially redistribute the Service or its content

We reserve the right to suspend or terminate accounts that violate these rules.

5. Free and paid plans

The free plan is offered at no charge with the features described on our pricing page. PantryPal IQ Plus is a paid subscription. Subscriptions automatically renew at the end of each billing cycle until you cancel. You can cancel anytime in your account settings — cancellation takes effect at the end of the current billing period.

We may change prices with at least 30 days' notice. Price changes apply at your next renewal. Refunds are at our discretion — for billing disputes, contact support@pantrypaliq.com within 30 days of the charge.

Payments are processed by Stripe. By providing payment information, you authorize us to charge the applicable fees to your payment method.

6. AI features and limitations

AI features (recipe generation, cooking assistant, ingredient substitutions) are provided as suggestions only. AI can make mistakes — generated recipes may have incorrect cooking times, suggested substitutions may not work in your specific recipe, and the cooking assistant may give inaccurate advice.

Critical: Always verify allergen information independently. We do our best to flag allergens you've listed in your profile, but AI-generated content is not a substitute for reading ingredient labels and using your own judgment, especially if you have severe food allergies. Never rely solely on PantryPal IQ for medical, dietary, or food safety decisions.

AI features are subject to monthly usage limits as described on the pricing page. Limits reset at your billing cycle.

7. User content and licensing

You retain ownership of the content you put into the Service — your pantry items, your custom recipes, your photos. By using the Service, you grant us a non-exclusive, royalty-free license to store, process, and display your content as needed to operate the Service for you.

Recipes shown in the Service from third-party sources remain owned by their respective publishers. We display them under our agreements with recipe data providers. AI-generated recipes are owned by you, but we don't guarantee their originality or non-infringement.

8. Intellectual property

The Service itself — the software, design, brand, logos, and curated content — is owned by Vibe Works Studio LLC and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works of the Service without our written permission.

"PantryPal IQ" and the PantryPal IQ logo are trademarks of Vibe Works Studio LLC. Other product and company names mentioned are trademarks of their respective owners.

9. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied. We disclaim all warranties including merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant that the Service will be uninterrupted, error-free, or secure.

Recipe matching is based on data we receive from third parties and our own algorithms — it may not always be accurate. Receipt scanning may misread items. Pantry deductions may not match real-world consumption. The Service is a planning tool, not a guarantee of any specific outcome.

10. Limitation of liability

To the fullest extent permitted by law, Vibe Works Studio LLC and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, arising out of or in connection with your use of the Service.

Our total liability to you for any claim arising from these Terms or the Service shall not exceed the greater of $100 or the amount you paid us in the twelve months preceding the claim.

Some jurisdictions don't allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages. In those cases, the above limitations apply only to the extent permitted by applicable law.

11. Indemnification

You agree to defend, indemnify, and hold harmless Vibe Works Studio LLC from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your violation of these Terms, your misuse of the Service, or your violation of any rights of another party.

12. Termination

You can stop using the Service anytime by deleting your account in your settings. We can suspend or terminate your account if you violate these Terms or if we discontinue the Service. If we terminate your account for cause, no refund is owed for unused subscription time.

Sections of these Terms that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, indemnification, governing law) will remain in effect after termination.

13. Governing law and disputes

These Terms are governed by the laws of the State of Colorado, without regard to conflict of law principles. You agree that any dispute arising from these Terms or the Service will be resolved exclusively in the state or federal courts located in Boulder County, Colorado, and you consent to the personal jurisdiction of those courts.

Before filing a lawsuit, you agree to first contact us at legal@pantrypaliq.com and try to resolve the dispute informally for at least 60 days.

14. Changes to these Terms

We may update these Terms occasionally. If changes are material, we'll notify you by email or in the app at least 30 days before they take effect. Continued use of the Service after changes take effect means you accept the updated Terms. If you don't agree to changes, stop using the Service before they take effect.

15. Miscellaneous

These Terms (together with our Privacy Policy) are the entire agreement between you and Vibe Works Studio LLC regarding the Service. If any part of these Terms is found unenforceable, the remaining parts remain in effect. Our failure to enforce any provision is not a waiver of our right to enforce it later. You may not assign these Terms; we may assign them to a successor or affiliate.
